These Terms and Conditions of Use ("Terms") govern your access to and use of https://ask-chat.ai/ (the "Website") and the AI chat, content generation, file analysis, web search, image generation, account, support, and related services provided through it (the "Service").

Automatic Renewals: If you purchase a paid subscription, it may automatically renew until cancelled. You authorize us and our payment processor to charge the applicable recurring fees to your selected payment method, unless you cancel before the renewal date.

By accessing or using the Service, creating an account, purchasing a subscription, or otherwise indicating acceptance, you agree to these Terms, our Privacy Policy, AI Acceptable Use and Content Safety Policy, Cookie Policy, Subscription Terms, Refund Policy, and any additional terms displayed to you in connection with the Service.

If you do not agree, do not use the Service.

Children under 13 may not use the Service. If you are 13 to 17 years old, you may use the Service only with the consent and supervision of a parent or legal guardian, and only where applicable law permits. If you are 18 or older, you may use the Service subject to these Terms.

Ask-Chat.ai provides an AI workspace that may include AI chat, access to multiple AI models, content generation, image generation, file and document analysis, web search, saved chats, projects, account features, and related tools. Features may change over time and may be free, paid, experimental, limited, or discontinued.

We may modify, suspend, or discontinue any part of the Service at any time, including models, features, limits, prices, availability, and eligibility. We are not responsible for the availability or performance of third-party AI models, search providers, payment providers, hosting providers, or other third-party services.

Access to certain models, features, and to higher or unlimited usage may require a paid (PRO) plan, and the models and features available to you may depend on your plan. We may apply usage limits, including free-tier limits and per-day or other fair-use limits, and we may require you to upgrade or to wait before continuing once a limit is reached. We may set, vary, or remove these limits at any time. For example, free use of the Service may be limited to a small number of prompts and images, after which image generation, higher-volume use, and access to certain (including premium) AI models may require a paid plan, and paid plans may be subject to daily or other periodic fair-use limits; the specific free allowances and limits in effect are shown at checkout, in your account, or in the Help Center. Usage during a free or discounted trial may be subject to lower or more restrictive limits than a paid subscription.

The Service provides access to AI models developed and operated by third parties. Ask-Chat.ai and Charlie and Co LLC are not affiliated with, endorsed by, sponsored by, or otherwise associated with the owners or developers of those AI models, and all third-party product names, model names, logos, and trademarks are the property of their respective owners and are used, where used at all, only for identification. The names we use to describe the models available in the Service may differ from a provider's own branding, and the specific model or provider serving a given request may change at any time without notice.

You may need an account to use some features. You agree to provide accurate information, keep your account information current, and protect your login credentials. You are responsible for activity under your account unless caused by our breach of these Terms or applicable law.

Your account and any subscription on it are personal to you. Each account is for use by one individual only: you may not share, lend, sell, or transfer your account, and you may not share sign-in emails, sign-in links or codes, passwords, or active sessions with any other person, or otherwise allow anyone else to access the Service through your account. For security, emailed sign-in links may be restricted to the device and browser from which they were requested. We may suspend or terminate accounts used in violation of this section, as further described in our Fair Usage Policy available in the Help Center.

Notify us promptly at support@ask-chat.ai if you believe your account has been compromised.

"User Content" means prompts, messages, files, images, documents, attachments, feedback, and other content you submit to or through the Service. "Output" means content generated by the Service in response to User Content.

You are responsible for your User Content and for ensuring that you have all rights needed to submit it to the Service. You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, reproduce, and use User Content as necessary to provide, maintain, secure, and improve the Service and comply with law.

Subject to your compliance with these Terms, we assign to you any rights we may have in Output generated for you, to the extent permitted by applicable law and third-party provider terms. You are responsible for evaluating Output before relying on it or using it.

AI-generated Output may be inaccurate, incomplete, offensive, unsafe, or unsuitable for your purpose. The Service is not a substitute for professional advice. Do not rely on Output as legal, medical, financial, tax, safety, emergency, or other professional advice.

You should not submit sensitive personal data, confidential information, trade secrets, health information, payment information, or other information you are not permitted to share, unless the Service feature clearly supports such use and you accept the associated risks.

You agree not to:

• Violate any law, regulation, intellectual property right, privacy right, or contractual obligation.
• Submit content that you do not have the right to use.
• Use the Service to create, request, distribute, or facilitate illegal, harmful, abusive, deceptive, infringing, harassing, hateful, sexual exploitation, self-harm, malware, credential theft, spam, adult or sexually oriented digital content, unauthorized likeness or impersonation content, privacy-violating content, or other prohibited content.
• Attempt to bypass safety systems, rate limits, access controls, authentication, or usage limits.
• Reverse engineer, scrape, crawl, extract, copy, or bulk download the Service except as permitted by law or expressly authorized by us.
• Interfere with, disrupt, overload, or compromise the Service or its systems.
• Use the Service to develop competing services by copying the Service, its interface, or its proprietary features.
• Misrepresent Output as human-generated where that would be misleading or unlawful.
• Use the Service for high-risk decisions without appropriate human review, safeguards, and compliance with applicable law.

We may suspend or terminate access if we believe you violated these Terms, the AI Acceptable Use and Content Safety Policy, or your use creates risk to us, users, the Service, payment processors, or third parties.

Some features may be free. We may offer paid subscriptions, trials, credits, usage-based plans, or other paid features. Pricing, plan terms, renewal frequency, limits, trial terms, and cancellation instructions will be shown at checkout or in account settings.

If you purchase a paid plan, you authorize us and our payment processor to charge all applicable fees, taxes, and recurring subscription charges to your selected payment method. You are responsible for keeping billing information current.

Unless otherwise stated, subscriptions renew automatically for the same subscription period until cancelled. You must cancel before the renewal date to avoid the next charge. Cancellation takes effect at the end of the current paid period unless otherwise required by law or stated at checkout.

Free trials may convert to paid subscriptions at the end of the trial period if you provided payment details and did not cancel before the trial ends. Trial availability, duration, and eligibility may vary.

Deleting your Ask-Chat.ai account cancels any active subscription on the account and stops future renewal charges as part of the deletion. Uninstalling the app, closing a browser tab, or simply not using the Service does not cancel a subscription.

Purchases are final and non-refundable except as described in our Refund Policy (for example, a verified technical issue that prevented meaningful use of the paid Service) or where required by applicable law. Refunds are governed by our Refund Policy.

The Service, Website, software, designs, interfaces, branding, trademarks, logos, text, graphics, databases, and underlying technology are owned by Charlie and Co LLC or its licensors and are protected by intellectual property laws.

Except as expressly allowed by these Terms, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Service or any part of it.

If you believe content available through the Service infringes your rights, contact support@ask-chat.ai with enough information for us to review the request, including your contact details, identification of the allegedly infringing material, proof of rights, and a statement that the information you provided is accurate.

The Service may use or link to third-party services, including AI model providers, search providers, authentication providers, payment processors, analytics providers, and other integrations. We are not responsible for third-party services, content, terms, policies, or availability.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.

We do not warrant that the Service will be uninterrupted, secure, accurate, complete, or free of errors, or that Output will be correct, safe, lawful, or suitable for your intended use.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHARLIE AND CO LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.

Nothing in these Terms limits liability that cannot be limited under applicable law.

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Charlie and Co LLC and its members, managers, officers, employees, contractors, affiliates, licensors, and service providers from claims, damages, liabilities, losses, and expenses arising out of or relating to your User Content, your use of the Service, your violation of these Terms, or your violation of laws or third-party rights.

You may stop using the Service at any time. We may suspend or terminate access to the Service if you violate these Terms, create legal or security risk, fail to pay fees when due, or if we discontinue the Service or any part of it.

After termination, provisions that by their nature should survive will survive, including intellectual property, disclaimers, limitation of liability, indemnity, governing law, and dispute provisions.

These Terms are governed by the laws of the State of Nevada, United States, excluding conflict-of-law rules. Nothing in these Terms limits mandatory consumer protections available under the laws of your country of residence.

Before filing a claim, you agree to first contact us at support@ask-chat.ai and attempt to resolve the dispute informally. If a dispute cannot be resolved informally, the courts located in Nevada, United States will have non-exclusive jurisdiction, except where mandatory law provides otherwise.

Class Action and Jury Trial Waiver. To the maximum extent permitted by applicable law, you and Charlie and Co LLC each agree that any dispute will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, representative, or private attorney general proceeding, and no court or arbitrator may consolidate or combine more than one person's claims or preside over any class or representative proceeding. To the maximum extent permitted by applicable law, you and Charlie and Co LLC each waive any right to a trial by jury. Nothing in this section limits mandatory rights or protections available to you under the laws of your country of residence.

We may update these Terms from time to time. The "Last updated" date shows when they were most recently revised. Continued use of the Service after changes become effective means you accept the updated Terms.

Entire Agreement. These Terms, together with the Privacy Policy, AI Acceptable Use and Content Safety Policy, Cookie Policy, Subscription Terms, Refund Policy, and any additional terms presented to you in connection with the Service, are the entire agreement between you and Charlie and Co LLC regarding the Service and supersede all prior or contemporaneous agreements, proposals, or understandings on that subject.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible or, if it cannot be, limited or severed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

No Waiver. Our failure or delay in exercising or enforcing any right or provision of these Terms does not waive that or any other right or provision. Any waiver must be in writing and signed by an authorized representative of Charlie and Co LLC to be effective.

Assignment. You may not assign or transfer these Terms, any rights or obligations under them, or your account, without our prior written consent, and any attempt to do so is void. We may assign or transfer these Terms, in whole or in part, at any time without notice, including to an affiliate or in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law. These Terms bind and benefit the parties and their permitted successors and assigns.

Force Majeure. We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, epidemics, war, terrorism, civil disturbance, labor disputes, governmental action, power or internet failures, or the unavailability, interruption, or failure of third-party AI model providers, search providers, hosting or cloud providers, payment processors, or communications networks.

Electronic Communications and Notices. You consent to receive communications and disclosures from us electronically, including by email and by posting within the Service, and you agree that such electronic communications satisfy any legal requirement that a communication be in writing. We may give you notice by email to the address associated with your account or by posting within the Service.
